Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using WeeKeeper, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the service. These terms constitute a legally binding agreement between you and Huru Inc, an Ontario corporation operating as WeeKeeper ("Huru Inc", "we", "our", "us").

Certain features require your explicit, informed consent before activation. For example, connecting a bank account, enabling AI-powered transaction categorization, and sharing access with an accountant each require separate, affirmative consent through in-app confirmation. You may withdraw consent for these features at any time through your account settings.

2. Description of Service

WeeKeeper is an AI-powered accounting and bookkeeping application designed for Canadian small businesses and personal finance. The service includes:

• Automated transaction categorization using AI
• Bank account connections and transaction syncing
• Invoicing and client management
• Financial reporting (profit & loss, balance sheet, cash position)
• API and MCP access for AI agent integrations
• Data export and backup capabilities

3. Account Registration

To use WeeKeeper, you must:

• Be at least 18 years of age
• Provide accurate, complete, and current registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Maintain only one account per person

You are solely responsible for all activity that occurs under your account, including actions taken by AI agents operating with your API keys.

4. Acceptable Use

You agree not to:

• Use WeeKeeper for any illegal activity, including money laundering, tax evasion, or fraud
• Misrepresent financial data or create falsified records
• Reverse engineer, decompile, or disassemble any part of the service
• Access the service through automated means except via authorized API keys
• Share your account credentials with others or allow others to access your account
• Attempt to circumvent subscription tier limits or security controls
• Use the service in a manner that could damage, disable, or impair it

5. Your Data

You own your financial data. WeeKeeper processes it on your behalf to provide the service. Key commitments:

• Data ownership: Your financial data belongs to you, always.
• Free export: You can export all your data at any time, on any plan, for free. We will never hold your data hostage behind a paywall.
• Data portability: Exports are available in standard formats (CSV, JSON) via Settings > Export Data.
• No lock-in: If you leave WeeKeeper, you take all your data with you.

Intellectual Property

Huru Inc retains all rights, title, and interest in the WeeKeeper software, website, brand, and content. Your use of the Service grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. You may not reproduce, distribute, modify, or create derivative works from any WeeKeeper content or software without our prior written consent.

6. AI-Powered Features

WeeKeeper uses artificial intelligence to categorize transactions, generate reports, and assist with bookkeeping tasks. You acknowledge that:

• AI categorization is provided on an "as-is" basis and may contain errors
• AI features are not a substitute for professional accounting advice
• You are responsible for reviewing and approving all AI-generated categorizations before relying on them for tax or regulatory purposes
• AI providers (such as OpenAI) process transaction descriptions only — no personally identifiable information (PII) is sent to AI providers
• AI-generated suggestions should be verified by a qualified professional for critical financial decisions
• You are responsible for configuring AI agent approval policies and for all actions taken by AI agents operating under your API keys, including invoices sent, transactions categorized, and data modifications

7. Subscription & Billing

WeeKeeper offers the following plans:

• Free tier: Available at no cost with limited features
• Core ($15 CAD/month): 2 bank connections, unlimited invoices, receipts, historical reports, and AI queries
• Pro ($29 CAD/month): Unlimited bank connections, up to 5 users, advanced reports, and multi-currency (coming soon)
• Accountant ($49 CAD/month): Up to 20 users, client management, accountant portal, and higher API limits

Billing terms:

• Paid plans are billed monthly or annually, at your choice
• You may cancel your subscription at any time
• Annual plans are eligible for pro-rated refunds upon cancellation
• All prices are in Canadian dollars (CAD)
• We will provide at least 30 days notice before any changes to pricing
• Payments are processed securely through Stripe
• Refunds for annual plans are processed to the original payment method within 10 business days of cancellation
• Monthly plans are not eligible for pro-rated refunds; your access continues until the end of the current billing period
• If you are a consumer resident of Quebec, you have the right to cancel a distance contract within 10 days of receiving confirmation of the contract, in accordance with the Consumer Protection Act (Quebec)

8. Third-Party Services

WeeKeeper integrates with third-party services to provide its features:

• Banking providers (Plaid): For bank account connections and transaction syncing. Banking connections require your explicit consent and are governed by Plaid's terms of service.
• Payment processor (Stripe): For subscription billing and payment processing, governed by Stripe's terms of service.
• AI services (OpenAI): For transaction categorization and natural language queries, governed by OpenAI's terms of use.

Each third-party service has its own terms and privacy policies. By using features that rely on these services, you agree to their respective terms.

9. Limitation of Liability

Please read this section carefully:

• WeeKeeper is not a licensed accounting firm and does not provide professional accounting services
• WeeKeeper is not liable for errors in tax filings or financial reporting based on its output
• The service does not constitute financial, tax, or legal advice
• You should consult a qualified accountant or tax professional for important financial decisions
• To the maximum extent permitted by law, Huru Inc's total liability is limited to the fees you have paid to us in the 12 months preceding the claim

The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Termination

• By us: We may suspend or terminate accounts that violate these terms, with notice except in cases of fraud or illegal activity.
• By you: You may delete your account at any time from the app settings.
• Effect of termination: Upon account deletion, your data will be purged in accordance with our Privacy Policy. You may export your data before deleting your account.

11. Changes to Terms

We may update these Terms of Service from time to time. When we make changes:

• Material changes will be communicated via email and in-app notification
• The updated effective date will be posted at the top of this page
• Continued use of WeeKeeper after changes take effect constitutes acceptance of the revised terms
• If you do not agree to the revised terms, you may close your account

12. Governing Law & Dispute Resolution

These Terms of Service are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles.

In the event of a dispute, you agree to first attempt to resolve the matter informally by contacting us at legal@weekeeper.com. If the dispute is not resolved within 30 days, either party may initiate mediation administered by a mutually agreed-upon mediator in Toronto, Ontario. If mediation fails, the dispute shall be resolved through binding arbitration in Toronto, Ontario, in accordance with the applicable rules of the ADR Institute of Canada.

Nothing in this section prevents you from bringing a claim in small claims court if the claim qualifies.

Quebec residents: If you are a consumer resident of Quebec, the mandatory arbitration provision above does not apply to you. Disputes shall be resolved before the courts of Quebec in accordance with Quebec law, and you benefit from the protections of the Consumer Protection Act (Quebec), which cannot be waived by contract.

13. Indemnification

You agree to indemnify, defend, and hold harmless Huru Inc (operating as WeeKeeper), its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from: (a) your misuse of the Service or use in violation of these Terms, (b) your violation of any applicable law or regulation, (c) your violation of any third party's rights, or (d) any fraudulent, misleading, or unlawful content you create using the Service, including invoices, transactions, or financial records.

14. Force Majeure

WeeKeeper shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to: natural disasters, government actions, changes in laws or regulations, third-party service outages (including banking providers, payment processors, or AI services), internet outages, or labour disputes.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Huru Inc regarding your use of the Service, and supersede all prior agreements, representations, and understandings.
